Power App Master Agreement

This Custom Power App Subscription Agreement ("Agreement") is entered into between Startups Venture ("Provider") and the subscribing party ("Subscriber") as of the Effective Date, as defined below. 

1. ​Definitions 
​ ​1.1. ​Subscriber: Purchaser / Customer 
​ ​1.2. ​Effective Date: Date of Subscription. 
​ ​1.3. ​Custom Power App: The bespoke software application designed and developed by Provider for Subscriber, as specified in the Plan details. 
​ ​1.4. ​Other definitions in agreement: 
​ ​​1.4.1. ​"Client", "Customer", "You" refers to the individual or entity using the App.  ​ ​
​ ​ ​1.4.2. ​"Service Provider", "We", "Us", "Our" refers to SHILL.ES and/or Startups Venture.  ​ ​
​ ​ ​1.4.3. ​"App" refers to the Power App provided by SHILL.ES and/or Startups Venture. 

2. Plan Details 
​ ​2.1. ​Plan Name: Custom Power Apps for Business
​ ​2.2. ​Price: Custom pricing as per invoice
​ ​2.3. ​Contract Term: 6 months or 12 months (vary depending on client's preference)
​ ​2.4.  ​Payment Due: 30 days from the date of invoice. 
​ ​2.5. ​Add-ons/Modifications: This plan allows for 2 add-ons or modifications. 
​ ​2.6. ​Monthly Payment: [Custom Price / 6 months or 12 months]
​ ​2.7. ​Additional features: This plan allows further customisation where additional add-ons, features and/or modifications can be added with ​​​a starting fee from RM800 per customisation. Do note that the stated fee may vary depending on the complexity of the ​request and integration options. 

3. Support and Communication 
​ ​3.1. ​Governed by the Service Level Agreement outlined in Section 4
​ ​3.2. ​Support Email: business@help.shill.es

​ ​3.4. ​Call-in Support/Meeting Call: 4 hours per week or 16 hours per month. 

4. Terms and Policies 
​ ​​4.1. ​The terms and conditions, service level agreement, and refund policy for the Custom Power App Subscription outlined below is also ​ ​         available at: https://www.shill.es/legal. 

​ ​ ​4.1.1. ​Terms and Conditions for Custom Power App for Business Subscription 
​ ​ ​ ​​i. Scope of Service: SHILL.ES and/or Startups Venture agrees to provide the Client access to the App for the specified purpose ​ ​ ​ ​of task management, data entry and administration. 
​ ​ ​ ​ii. Subscription and Payment: 
​ ​ ​ ​ ​a. ​The Client agrees to pay a monthly recurring fee for the development and service of the App. 
​ ​ ​ ​ ​b. ​All charges for Malaysian clients are billed in MYR (Malaysian Ringgit) where clients from outside Malaysia are billed in USD (United States Dollars). 
​ ​ ​ ​ ​c. ​Payment is due before the start of the next billing cycle. 
​ ​ ​ ​ ​d. ​Late payments may result in suspension or termination of services. 
​ ​ ​ ​iii. Termination: Either party may terminate this agreement with written notice. Termination will be effective after 30 days, completing the billing cycle. 

​ ​ ​ ​ ​a. ​Early Termination Fee Calculation:
​ ​ ​ ​ ​ ​• ​In the event of early termination of the contracted services, ​the customer shall be liable to pay an early termination fee. 
​ ​ ​ ​ ​ ​• The early termination fee will be calculated as follows: [Monthly Commitment] x [Remaining Months]. 

          ​ ​b. Monthly Commitment: The "Monthly Commitment" refers to the agreed-upon monthly fee for the provision of services, as specified in the signed contract or agreement. 

          ​ ​c. Remaining Months: The "Remaining Months" denotes the number of months left in the initial contracted term at the time​ of termination. This will be determined by deducting the elapsed months from the total contracted term. 

          ​ ​d. Request for Early Termination: To initiate the early termination process, the customer must submit a written request to SHILL.ES. This request should include the reason for termination and any supporting documentation if required. 

          ​ ​e. Approval of Early Termination: We reserves the right to approve or deny any early termination request at its sole discretion. 

          ​ ​f. Payment of Early Termination Fee: 
           ​ ​ ​• Upon approval of the early termination request, you shall be invoiced for the calculated early termination fee. 
          ​ ​ ​• The customer agrees to remit the early termination fee within [30 days] of receiving the invoice. 

          ​ ​g. Effect of Early Termination: Upon payment of the early termination fee, We will cease providing services and any further obligations under the contract will be terminated. 

          ​ ​h. Refund of Prepaid Amounts: If the customer has made any prepaid amounts for services beyond the termination date, We will refund the prorated portion. 

          ​ ​i. No Waiver of Other Rights: The enforcement of this early termination clause does not waive any other rights or remedies available to SHILL.ES under the contract. 


          iv. Intellectual Property The App and all associated content are the intellectual property of SHILL.ES and/or Startups Venture. 
          ​ ​a. The Client shall not reproduce, distribute, or modify the App without explicit permission. 

          v. Data Protection and Privacy SHILL.ES and/or Startups Venture is committed to protecting client data. Refer to our Privacy Policy for more information. 

          vi. Support and Maintenance SHILL.ES and/or Startups Venture will provide support and maintenance for the App as specified in the Service Level Agreement (SLA). 

          vii. Limitation of Liability SHILL.ES and/or Startups Venture is not liable for any direct, indirect, or consequential damages arising from the use of the App. 

​ ​​4.1.2. ​Service Level Agreement (SLA) for Custom Power App for Business Subscription 

​ ​ ​ ​i. ​The services covered by this SLA vary depending on the chosen subscription plan: 

​ ​ ​ ​​a.  ​Starter Plan 
​ ​ ​ ​ ​ ​• ​Availability: We will make all reasonable efforts to ensure that the App is available for use 99.5% of the time, measured on a monthly basis. 
​ ​ ​ ​ ​ ​• Support: We will provide technical support for the App during regular business hours 9am to 6pm (MYT) via email. Response times will be as follows: 
​ ​ ​ ​ ​ ​ ​• ​Priority Level 1 (Critical): 24 hours 
​ ​ ​ ​ ​ ​​• Priority Level 2 (High): 48 hours 

          ​ ​​​b. ​Premium Plan 
          ​ ​• Availability: We will make all reasonable efforts to ensure that the App is available for use 99.9% of the time, measured on ​a monthly basis. 
          ​ ​• Support: We will provide technical support for the App 24/7 via email and live chat. Response times will be as follows:
          ​ ​ ​• ​​Priority Level 1 (Critical): 6 hours 
          ​ ​ ​• Priority Level 2 (High): 12 hours 
          ​ ​ ​• Priority Level 3 (Medium): 24 hours 


          ​ ​c. ​Enterprise Plan 
          ​ ​​• Availability: We will make all reasonable efforts to ensure that the App is available for use 99.9% of the time, measured on ​a monthly basis. 
          ​ ​​• Support: We will provide technical support for the App 24/7 via email, live chat and dedicated account managers. ​ ​ ​ ​Response times will be as follows: 
          ​ ​ ​​• Priority Level 1 (Critical): 2 hours 
          ​ ​ ​​• Priority Level 2 (High): 4 hours 
          ​ ​ ​​• Priority Level 3 (Medium): 6 hours 
          ​ ​ ​​• Priority Level 4 (Low): 12 hours 


          ​ ​d. ​Custom Plan 
          ​ ​​​• Availability: We will make all reasonable efforts to ensure that the App is available for use 99.5% upon service delivery.
          ​​ ​ ​• Custom plan option does not cover additional development and integration after service delivery. 
          ​ ​​​• Unless stated otherwise, the custom plan option has a charge for every after delivery support with a fee of RM330 per support ticket. 
          ​ ​​​• Support: We will provide technical support for the App during regular business hours 9am to 6pm (MYT) via Helpdesk and Email. Response times will be as follows: 
          ​ ​ ​​​• Priority Level 1 (Critical): 12 hours 
          ​ ​ ​​​• Priority Level 2 (High): 24 hours 


          ii. Data Backup and Recovery SHILL.ES and/or Startups Venture will implement regular data backups and have recovery processes in place to ensure minimal data loss in the event of an unforeseen incident for all subscription plans. 

          iii. Security SHILL.ES and/or Startups Venture will employ industry-standard security measures to protect client data and ensure the integrity of the App for all subscription plans. 

          iv. Change Management Any changes or updates to the App will be communicated to the Client in advance for all subscription plans. SHILL.ES and/or Startups Venture will make reasonable efforts to minimise disruptions. 

          v. Reporting and Monitoring SHILL.ES and/or Startups Venture will provide regular reports on App performance, including uptime, response times, and any incidents for all subscription plans. 

          vi. Escalation Process In the event of a critical issue, SHILL.ES and/or Startups Venture will follow an escalation process to ensure swift resolution for all subscription plans. 

          vii. Review and Amendment This SLA will be reviewed annually or as needed. Amendments may be made with mutual agreement. 


    ​ ​ ​4.1.3. ​Refund Policy 
    ​ ​ ​ ​i. Refund Eligibility: 
    ​ ​ ​ ​     ​a. Refunds will only be issued in accordance with the terms outlined in this policy. 
    ​ ​ ​ ​ ​b. Customers are eligible for a refund if they have met the criteria specified herein. 

            ​ii. Initiation of Refund Request: 
            To initiate a refund request, the customer must submit a written request to SHILL.ES. This request should include the reason for the refund and any supporting documentation if required. 

            iii. Approval of Refund Request: We reserves the right to approve or deny any refund request at its sole discretion. 

            iv. Refund Process: 
            ​a.             If the refund request is approved, we will process the refund within 30 days of approval. 
            ​b. Refunds will be issued using the same method of payment used for the original transaction. 

            v. Refund Amount: The refund amount will be determined based on the circumstances of the request and will be communicated to the customer upon approval. 

            vi. Non-Refundable Items and Services: Certain items or services may not be eligible for a refund. These include but are not limited to: 
            ​​• Customised solutions 
            ​​• One-time setup fees 
            ​​• Development fee 
            ​​• Design fee 
            ​​• Quarterly/half-yearly/yearly subscriptions 

            vii. Refund for Early Termination: In the event of an early termination as per the Early Termination Terms and Conditions, any prepaid amounts for services beyond the termination date will be refunded on a prorated basis. 

            viii. Communication of Refund Status: We will inform the customer of the status of their refund request in writing. 

            ix. No Obligation for Future Refunds: The issuance of a refund under this policy does not imply an obligation to provide refunds for future transactions or requests. 

            x. Amendments to Refund Policy: We reserves the right to amend this refund policy at its discretion. Any such changes will be communicated to the customer in writing. 

    5. Responsibilities of Provider 
    ​5.1. Provider agrees to develop, maintain, and provide support for the Custom Power App as described in the Plan. 
    ​5.2. Provider shall ensure that the Custom Power App meets industry standards and is free from material defects. 


    6. Responsibilities of Subscriber 
    ​6.1. Subscriber shall pay the agreed-upon fees in accordance with the Payment Terms outlined in Section 2. 
    ​6.2. Subscriber shall provide all necessary information and cooperation required for the development and implementation of the Custom Power App. 


    7. Term and Termination 
    ​7.1. This Agreement shall commence on the Effective Date and continue for the duration of the Plan. 
    ​7.2. Either party may terminate this Agreement in the event of a material breach by the other party, with a written notice of 30 days in accordance with the Termination Terms outlined in Section 4.1.1 (iii). 

    8. Confidentiality 
    Both parties agree to keep all confidential information received from the other party strictly confidential and not to disclose it to any third party without prior written consent. 

    9. Governing Law 
    This refund policy shall be governed by and construed in accordance with the laws of the respective country where the client resides as well as the Laws of Malaysia, without regard to its conflict of law principles. 

    10. Entire Agreement 
    This Agreement contains the entire agreement of the parties and supersedes all previous understandings and agreements between the parties.
